Terms and Conditions of Service


1. Introduction

Welcome to Lion Scale Solutions. By using our website and services, you agree to be bound by these terms and conditions. If you do not agree to these terms,

please do not use our services. Lion Scale Solutions reserves the right to update or modify these terms at any time without prior notice.

Continued use of our services after any changes constitutes acceptance of the new terms.


2. Services

Lion Scale Solutions provides marketing, SEO, automation, and website management services tailored to the unique needs of each client.

The scope of services will be outlined in individual agreements or proposals between Lion Scale Solutions and the client.

2.1 Customization:

All services provided are customized based on client requirements, as detailed in the project proposal or agreement.

2.2 Service modifications:

Any additional requests or modifications to the agreed-upon services must be mutually agreed upon and may incur additional fees.


3. Payment Terms

Clients are required to pay for services according to the payment schedule outlined in their individual agreement.

3.1 Invoicing:

Invoices will be issued as agreed, either monthly for ongoing services or upon completion of project milestones for one-time services.

Payments are due within 30 days of the invoice date unless otherwise specified.

3.2 Late payments:

If a payment is not received by the due date, Lion Scale Solutions reserves the right to charge a late fee of 1.5% per month on the outstanding balance. Continued non-payment may result in service suspension or termination.

3.3 Cancellation and refund policy:

For monthly services, clients may cancel with 30 days' written notice. Any work completed during the notice period will be invoiced accordingly.

No refunds will be issued for services already rendered. For one-time projects, no refunds will be provided once work has commenced.


4. Client Responsibilities

To ensure successful project execution, clients are responsible for providing timely and accurate information.

4.1 Access to information:

The client agrees to provide Lion Scale Solutions with all necessary access to their systems,

websites and marketing accounts to perform the agreed services.

4.2 Collaboration:

The client is expected to provide any content, feedback, and approvals in a timely manner.

Delays caused by the client may result in adjusted timelines or additional fees.

4.3 Data protection:

The client guarantees that any data provided for marketing, CRM, or automation purposes complies with applicable data protection laws, including but not limited to GDPR (if applicable).


5. Intellectual Property

Both Lion Scale Solutions and the client retain certain rights over the materials provided and created during the engagement.

5.1 Client materials:

The client retains ownership of all materials provided to Lion Scale Solutions (e.g., logos, branding materials, content) and grants Lion Scale Solutions the right to use them solely for the purposes of delivering services.

5.2 Lion Scale Solutions deliverables:

Upon full payment, the client receives ownership rights to all deliverables produced by Lion Scale Solutions (e.g., websites, marketing materials). Lion Scale Solutions retains the right to use these materials for portfolio and marketing purposes, unless otherwise agreed upon in writing.

5.3 Third-party materials:

Any third-party tools, software, or assets used in the delivery of services (e.g., WordPress themes, plugins) remain the property of their respective owners and are subject to their terms of use.


6. Confidentiality

Lion Scale Solutions and the client agree to maintain the confidentiality of all proprietary and confidential information exchanged during the engagement.

6.1 Definition of confidential information:

Confidential information includes any business, technical, or financial information shared between the parties that is not publicly available.

6.2 Non-disclosure:

Both parties agree not to disclose or use the other party’s confidential information for any purpose outside the scope of the services provided without written consent.

6.3 Exceptions:

Confidential information does not include information that is or becomes public,

is already known to the receiving party, or is independently developed by the receiving party.


7. Service Delivery and Performance

Lion Scale Solutions will deliver services in accordance with agreed timelines and specifications.

7.1 Project timelines:

All timelines for deliverables will be outlined in the client’s individual agreement. Lion Scale Solutions is not liable for delays caused by the client’s failure to provide necessary information or approvals in a timely manner.

7.2 Service performance:

Lion Scale Solutions will make every reasonable effort to ensure that services are performed to a high standard.

However, Lion Scale Solutions cannot guarantee specific results from marketing campaigns, SEO,

or automation services due to the inherent unpredictability of these activities.


8. Termination

Either party may terminate the agreement under the following conditions:

8.1 Termination by client:

The client may terminate services with 30 days' written notice. Any fees for services performed up to the date of termination will be due and payable.

8.2 Termination by Lion Scale Solutions:

Lion Scale Solutions reserves the right to terminate the agreement if the client breaches any terms of this agreement,

including failure to pay invoices or provide necessary materials.

8.3 Effect of termination:

Upon termination, Lion Scale Solutions will cease all work, and any remaining balances owed will become due immediately.

The client will retain ownership of any completed deliverables once full payment has been made.


9. Limitation of Liability

Lion Scale Solutions will not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the services.

9.1 Maximum liability:

In no event shall Lion Scale Solutions' liability exceed the total fees paid by the client for the services in question.

9.2 Force majeure:

Lion Scale Solutions will not be liable for delays or failures in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, or disruptions in telecommunications or internet services.


10. Dispute Resolution

In the event of any disputes arising from these terms, both parties agree to attempt to resolve the matter amicably.

10.1 Mediation:

If the parties are unable to resolve the dispute, they agree to engage in good-faith mediation before pursuing further legal action.

10.2 Governing law:

These terms and conditions are governed by the laws of Spain.

Any legal actions arising out of this agreement shall be brought in the courts of Spain.


11. Miscellaneous

11.1 Entire agreement:

These terms and conditions, along with the individual client agreement, constitute the entire agreement between the parties.

11.2 Modifications:

Any modifications to this agreement must be in writing and signed by both parties.

11.3 Severability:

If any provision of these terms is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.
